Terms of Service

These terms govern your use of SyllaSync, a browser extension and backend service operated by NorthQuad Labs LLC ("we", "us"). By creating an account or using SyllaSync you agree to them. The service is offered from the United States and is available only in the United States.
The service
SyllaSync reads assignment, quiz, and exam due dates from your Blackboard account through Blackboard's calendar API, using the Blackboard session already signed in inside your browser, and syncs them to a calendar you connect. It is an independent product: SyllaSync is not affiliated with, endorsed by, or sponsored by Anthology Inc. (Blackboard), any university, or any calendar provider.
SyllaSync acts solely as your agent, at your direction, using access and sessions that belong to you. You represent that you are authorized to access the Blackboard account you connect and that your use of SyllaSync does not violate your institution's acceptable-use or access policies.
Eligibility and your account
- You must be at least 18 years old (or the age of majority where you live) to purchase a subscription. If you are between 13 and 18, you may use SyllaSync only with the involvement of a parent or guardian who accepts these terms and is responsible for payment. SyllaSync is not available to children under 13.
- You are responsible for your account credentials and for activity under your account.
License
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the SyllaSync extension and service for your own non-commercial use in accordance with these terms. We and our licensors retain all rights in the service. If you send us feedback or suggestions, we may use them without obligation to you.
Subscription and billing
- SyllaSync is a paid subscription with a 14-day free trial. Your subscription automatically renews monthly at $2.99 (plus applicable taxes) and your payment method is charged at the start of each billing period until you cancel.
- If you start a free trial with a payment method on file, you will be charged $2.99 when the 14-day trial ends unless you cancel before then. We email you when the trial starts, with the date it ends, and again about three days before the first charge.
- You can cancel online at any time from your account page (also reachable from the extension's settings): "Manage billing" opens the Stripe billing portal, where you cancel in a few clicks. Cancellation stops future charges and takes effect at the end of the current billing period; you keep access until then. Except where required by law, paid periods are not refunded, including partial months. Nothing in these terms limits any non-waivable statutory rights you may have.
- Payments are processed by Stripe. We will notify you by email at least 30 days before any price change takes effect; the new price applies from your next billing period after the notice period, and you may cancel before then.
Acceptable use
You agree not to:
- use SyllaSync with a Blackboard account you are not authorized to access;
- probe, disrupt, or overload the service or its infrastructure;
- reverse engineer the service except where law permits it regardless of this term;
- resell or redistribute the service.
Your data
How we collect, store, and delete data is described in the Privacy Policy. You can export your data and delete your account at any time from the extension's settings.
Availability and changes
Blackboard and calendar providers can change their systems at any time, and universities control their own Blackboard deployments; syncs may be delayed, incomplete, or interrupted for reasons outside our control. We may modify or discontinue features with reasonable notice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYLLASYNC IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Synced calendar entries are a convenience, not an authoritative record. Your institution's official course pages remain the source of truth for deadlines. We are not responsible for missed deadlines, grades, or other academic outcomes.
Limitation of liability
To the maximum extent permitted by law, NorthQuad Labs LLC's total liability for any claim arising out of or relating to the service is limited to the greater of the amounts you paid us in the twelve months before the claim and $50. We are not liable for indirect, incidental, special, or consequential damages.
Nothing in these terms excludes or limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded by applicable law. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
Indemnification
You will indemnify and hold harmless NorthQuad Labs LLC from third-party claims arising out of (a) your violation of these terms, (b) your unauthorized access to any Blackboard or institutional account, or (c) your violation of your institution's policies.
Disputes and arbitration
Please read this section carefully. It affects your rights.
- Informal resolution first. Before filing a claim, you agree to contact us at [email protected] and give us 30 days to resolve the dispute informally.
- Binding individual arbitration. Any dispute not resolved informally and not eligible for small-claims court will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted remotely or in the county where you live.
- Arbitration fees. For any arbitration you bring, we will pay all American Arbitration Association filing, administration, and arbitrator fees, except that you remain responsible for the portion equal to the filing fee you would have paid to start the same claim in court. Each party otherwise bears its own attorneys' fees and costs, unless the arbitrator awards them under applicable law.
- Class-action waiver. Disputes will be arbitrated only on an individual basis. Neither you nor we may participate in a class, consolidated, or representative action. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) proceeds in court.
- Small-claims carve-out. Either party may bring an individual claim in small-claims court instead of arbitrating.
- 30-day opt-out. You may opt out of arbitration and the class-action waiver by emailing [email protected] with your account email and the words "arbitration opt-out" within 30 days of first accepting these terms. Opting out does not affect any other part of these terms.
Governing law and forum
These terms are governed by the laws of the State of North Dakota, USA, without regard to conflict-of-law rules. Any dispute not subject to arbitration or small-claims jurisdiction shall be brought exclusively in the state or federal courts located in Cass County, North Dakota, and you consent to personal jurisdiction there. If you are a consumer, mandatory consumer-protection rights of your state of residence are unaffected.
Termination
You may stop using SyllaSync and delete your account at any time. We may suspend or terminate accounts that violate these terms. Sections concerning payment obligations, disclaimers, limitation of liability, indemnification, governing law, and disputes survive termination.
General
- Changes to these terms. If we materially change these terms, we will notify you by email to your account address at least 14 days before the change takes effect. Changes apply prospectively. If you do not agree, cancel before the effective date; continued use or renewal after the effective date constitutes acceptance.
- Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the rest remains in effect.
- Entire agreement. These terms and the Privacy Policy are the entire agreement between you and us regarding the service.
- Assignment. You may not assign these terms. We may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We send notices to your account email address. You can send notices to us at [email protected].
- Export and sanctions. You may not use the service if you are located in an embargoed country or are on a US denied-party list.
